Partner program – Terms of Sale for Partner

This document outlines the terms and conditions for becoming a Partner of Ansata Computer Systems Pvt Ltd. By signing this document you agree to the following:

Partner Relationship

You are appointed as a non-exclusive Partner authorized to resell the products we distribute. You agree to operate professionally, comply with all applicable laws, and follow our branding and sales guidelines.

Pricing and Payment

– All Products are sold at prices listed on our official price list or as agreed in writing.

-Orders will only be processed after full advance payment is received.

-Payments can be made via bank transfer, credit card, or other agreed methods.

Delivery and Risk

-Delivery will be arranged once payment is cleared.

-Risk of loss or damage passes to you upon delivery.

Returns and Warranty

-Defective Products can be returned within (30/60) days with prior approval.

-Products are covered by a (12-month) warranty against material or workmanship defects. The warranty does not cover misuse or unauthorized –  modifications.

Partner Obligations

-You agree not to modify or rebrand the Products without our consent.

-Products must be sold in compliance with applicable laws and regulations.

Term of Agreement

-The term of this Agreement will begin upon our acceptance of your registration form and will end when terminated by either party.

Termination

-Either party may terminate this agreement with [30/60 days] notice.

-Immediate termination applies in cases of breach or non-payment.

Legal and Confidentiality

-All intellectual property, including trademarks and marketing materials, remains our property. You are granted a limited license to use these for resale purposes only.

-Both parties agree to keep shared business information confidential.

Compliance with Laws

You will comply with all laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions or other requirements of any governmental authority that has jurisdiction over you, whether those laws, etc. are now in effect or later come into effect during the time you are a Program participant.

Liability and Unforeseen Events

-We are not liable for damages beyond the amount paid for defective Products.

-Neither party will be held responsible for delays or failures caused by events outside reasonable control (e.g., natural disasters).
